| Description: | Term Sheets are the kernel around which you build a critical licensing or partnering transaction. They are meant to capture key terms - sometimes with intentional vagueness. We will explore both business and legal aspects of Term Sheet negotiations, including how to use Term Sheets to focus discussions and shape a signable deal. Among other topics, we will explore when to move from talk to Term Sheet, which terms to include (and which to leave out!), how to distinguish between “must have” and “nice to have” terms, and the benefits and perils of ambiguity. |
